It all depends on how much you want to use the camera + the new features you would get by upgrading the equipment.
I had a d40 and I bought the d5100.
I can say it was not a big of an upgrade other than couple of features like shooting HD video + auto bracketing features for HDR + swivel LCD and a bunch of other features.
IMHO, I would rather invest more money into different lenses if I have a decent body. But I think d40 is a bit outdated though.
auto bracketing is very handy and so is the swivel.
